契约、意思主义、卖买——试论清末时期的物权契约观念

清末时期，日本民法学逐步被引入中国。日本民法学在契约定义上，采用广义契约学说；在物权移转主义上，采用意思主义学说。这为物权契约观念的生成提供了前提和基础。“物权之契约”和“债权契约”用语相继被使用。至民国初年，大理院则通过判例，对物权契约进行了定义，并界定了物权契约的有效成立要件。但清末时期的物权契约观念与德国民法学理论中的物权契约（物权行为）有着本质区别。

论合同法保护债权人利益的特别规定

作者将 1 999年《合同法》与 1 982年《经济合同法》对债权保护的有关规定做了比较。《合同法》改变了原《经济合同法》对债权人利益保护不力的规定 ,立法的出发点就是坚决加强对债权人利益的保护 ,在《合同法》中主要体现为“四权”、“三金”的规定。

关于《劳动合同法》第14条的溯及力的法理分析

《劳动合同法》第14条引起了广泛争议并产生了很大社会影响,争议的焦点是有关年限的规定是否具有溯及力的问题。依据法不溯及既往原则,《劳动合同法》原则上不具有溯及力,但由于《劳动合同法》的立法意图旨在保护劳工利益,加之《劳动合同法》吸收了《劳动法》的有关规定,因而使某些有关年限的起点具有溯及力。这样把握既不违反法不溯及既往原则,同时也保护了劳工的正当权益。不过应该有个过渡办法,《劳动合同法》实施前企业对劳工的福利欠债可以考虑由政府"埋单"而不能完全推给企业。     

国际合同法上的实际履行制度研究

实际履行是合同法中一项重要的违约救济制度。考察实际履行的性质以及在两大法系国家合同法中的地位,实际履行在1980年《国际货物买卖合同公约》中的具体体现和特点,研究该制度在公约之后的发展趋势,有助于进一步完善中国的实际履行制度。     

论我国《劳动合同法》的实施困境及对策

我国《劳动合同法》的立法价值目标是实现劳动关系的和谐。但在《劳动合同法》的实施过程中,企业的抵制、规避行为,配套法规和规章制度的不健全以及地方政府、工会未能发挥应有作用导致《劳动合同法》的实施效果不容乐观。为此,要建立企业社会责任制度,促进企业自觉维护职工权益,并完善《劳动合同法》的相关配套制度,落实政府与工会在保护劳动者权益方面的积极作用。

论合同订立中的格式之战

在现代市场经济条件下，格式文本在合同订立过程中发挥着前所未有的作用，商人们往往无视双方格式文本内容的差异，照常进行交易，从而引发“格式之战”。为平息“格式之战”，各国基本上都经历了“镜像规则”──“最后一论规则”──“第一枪规则”──“相互击倒”的道路。我国《合同法》没有对“格式之战”问题作出规定，因而应在充分考虑合同法效益、正义的价值目标和现代合同法特征的基础上积极地进行完善。     

论清偿抵充

2009年出台的最高人民法院《关于适用〈中华人民共和国合同法〉若干问题的解释(二)》首次规定了清偿抵充制度。然而,基于司法救急的原因,《合同法司法解释二》没有规定指定抵充。我国民法典应当按照《德国民法典》的债务人指定模式对指定抵充进行规定,同时,应当在《合同法司法解释二》相关规定的基础上,借鉴大陆法系国家和地区民法典关于清偿抵充的立法经验,进一步完善法定抵充制度。

《中华人民共和国劳动合同法实施条例》简介

一、制定之必要性 《中华人民共和国劳动合同法》（以下简称《劳动合同法》）於2007年6月29曰由十届全国人大常委会第二十八次会议通过，自2008年1月1曰起施行。《劳动合同法》作为构建和发展和谐劳动关系的一部重要法律，从起草、审议到公布施行，一直受到社会各界的广泛关注。
