徘徊于传统与突破之间的尴尬——评《最高人民法院关于审理民事案件适用诉讼时效制度若干问题的规定》

《民法通则》关于诉讼时效的规定,因其时代的局限性和制度自身的不合理性而遭致理论界和实务界诟病已久。《最高人民法院关于审理民事案件适用诉讼时效制度若干问题的规定》虽然在一定程度上弥补了《民法通则》对此规定的不足,但囿于司法解释的效力阶位,依然无法修正这一制度本身的不合理性。基于我国的立法传统和客观现实的需求,司法解释在我国法律体系中的地位,则是徘徊于传统和突破之间的尴尬。     

论股东瑕疵出资的法律责任

学界对股东瑕疵出资的界定不一,类型划分多样。我国新《公司法》关于股东瑕疵出资法律责任的规定有所进步,但仍存在体系不完善、规范不全面、责任不明确等问题。借鉴《日本公司法典》在股东瑕疵出资法律责任制度中关于失权程序、扩大的责任主体范围等实体制度的规定,分析总结我国实际情况,从理念、制度、体系三个维度加以修正。     

刑事级别管辖中案件移送问题探讨

刑事级别管辖对保障司法程序公正至关重要,我国关于刑事级别管辖的司法解释的规定并没有发挥其应有的作用。国外关于刑事级别管辖的有关规定值得我国借鉴,建议废除我国刑事级别管辖移送制度,出台相应司法解释保障刑事级别的管辖。     

中德未成年人犯罪前科消灭制度比较研究

德国《少年法院法》规定了未成年人犯罪前科消灭制度,对适用范围、启动方式、调查程序、裁判、撤销等都作了详细规定。2012年我国《刑事诉讼法》也建立了未成年人犯罪记录封存制度,但比较德国的未成年人犯罪前科消灭制度,我国的相关法律规定仍过于空泛。在适用范围与适用程序方面,两国之规定有着较大差别。德国制度的适用范围在年龄、刑罚等方面皆广于我国,且涵盖品行要求;其适用程序以申请为主,必须进行调查并听取多方意见;其法律后果之效力也强于我国。有鉴于此,我国可借鉴德国有益经验,增加关于适用范围与程序的规定,以完善我国未成年人犯罪前科消灭制度。     

《民法通则》有关法人制度的评析

<民法通则>关于法人制度的规定丰富了我国民事主体制度.但随着改革开放的不断深入,其中的某些规定已显得陈旧.本文就<民法通则>中有关法人制度的规定提出质疑及看法,希望能够引起法律界同仁对法人制度的重新思考.     

《劳动合同法》连带责任之规定与立法价值

连带责任是民商事法律责任制度中一种特殊责任形式。与民商法连带责任制度规定之日臻完善相比,我国《劳动法》关于连带责任之规定尚显不足。《劳动合同法》从三个方面对连带责任制度给予规定,扩大其适用范围,对保护劳动者合法权利,构建和发展和谐稳定的劳动关系具有重要作用。     

试论我国信用证立法中的保证制度——兼评《最高人民法院关于审理信用证纠纷案件若干问题的规定》第十六条

信用证业务在对外商事贸易活动中广泛运用,但信用证立法在我国尚属空白。最高人民法院公布的《最高人民法院关于审理信用证纠纷案件若干问题的规定》（简称《规定》）为信用证立法奠定了基础。《规定》第16条的＂保证制度＂与《担保法》中关于保证人的抗辩权规定不相一致,通过对《规定》和《担保法》中的＂保证制度＂进行比较分析,结合《跟单信用证统一惯例》（UCP600）,认定《规定》中的＂保证制度＂是构建于《担保法》基石之上融合信用证特性所形成的一种特殊保证制度。     

我国民法未成年人保护制度的缺陷及完善

我国民法关于未成年人保护制度的规定落后于大陆法系诸国，现有规定在实践中也难以操作，存在有法难依的现象。作者试图通过对我国民法未成年人保护制度存在的问题进行分析，并与大陆法系国家的未成年人的民法保护制度进行必要的对比，以期达到完善我国民法未成年人保护制度的目的。
