缔约过失责任为一首创于德国的法律制度。深究德国法上缔约过失责任的产生缘由,主要是规避其自身侵权行为法规范不完善之处,用于克服契约责任与侵权行为责任交错领域所产生的法律适用疑难问题,以调整契约责任与侵权行为责任未能合理周延保护当事人之处。反观,我国的侵权行为法并未承继德国法模式的严格列举性而采法国法的一般概括条款性规定,在此背景下,是否有借鉴德国法上的缔约过失责任之必要,实值得探讨。
