企业并购包括三个连续的产权变化过程产权交易、产权重构、产权治理结构更新,直接价值产权、直接物质产权、个体间接物质产权自由有效地交易引起企业产权重构,企业产权重构导致产权治理结构更新.其中,产权治理结构更新是战略性企业并购的核心内容,是企业产权交易的根本目的.就产权交易而言,企业直接价值产权的交易是必然发生的,企业直接物质产权与个体间接物质产权的交易是可能出现的.

在经济全球化的背景下,跨国并购作为外国直接投资最主要的投资方式,为各国政府所极力推崇,广泛地应用于国际投资领域,对国际资本流动,产业重组的进程、结构和趋势产生重大影响。当今世界正处于第五次全球性企业并购浪潮中,本文拟通过对跨国并购基本问题和外资在华并购的动态分析,阐述对法律规制必要性和反垄断法立法价值取向的理解。

我国企业在跨国并购实践中存在一些突出问题,如缺乏并购后文化整合的能力;缺乏一个清晰的远景规划和与远景规划紧密关联的并购战略等。要着手解决这些问题,企业应当通过国内并购来实现资源重组和资源优化配置;提高资本市场效率;实施灵活的跨国并购战略;在跨国并购过程中注意企业文化融合。
