商事登记法律性质辨析:法经济学的视角

商事登记制度的产生具有自发性、自觉性,商事登记规则的形成是商事交易的客观需要使然。法律作为一种规则体系必定是社会生活事实需要的产物和制度的体现,法律规范应该是对社会经济事实客观的"映照,"而非主观的"塑造"。因此,对商事登记法律性质的解释不应是学术的,而应是经济的。后现代结构方法主张视角多元主义,克服定式化思维。突破商事登记法律行为公私法性质定式的牢笼,探求其背后的经济本性,于实务更有裨益。

Discriminating the legal property of the business registration: perspective of Law and economics

The creation of business registration is self-moving and non-artificial.The formation of business registration rule is the result of objective demanding of business trade.As a system of rules,law is the outcome of needing of social life.Law has to be the objective reflection of social and economical fact instead of the artificial making.Therefore,the explanation of legal nature about business registration cannot be academic but economical.The Postmodern methods claim diverse perspectives,overcome fixed thinking.Break the fixed thinking that the nature of business registration is private or public,investigate its economical property is batter for practice.
