论公司担保能力限制

实践中公司为他人提供担保已相当普遍,而我国现行《公司法》却未曾十分明确地规定公司担保能力的限制。本文经由评析学界和司法实践对《公司法》第60条第3款及其他相关规定的理解,并比较分析了英美法系、大陆法系的相关立法例,论证得出我国公司法应赋予公司有限制的担保能力,即《公司法》不应禁止公司提供担保,但应当从担保数额、判断有效的标准、决策程序上予以适当的限制。

On the Limitation for Guarantee Ability of Company

In practice,the phenomenon that the company guarantees for others is quite popular, while the existing the Company Law of China fails to firmly regulate the limitation for the guarantee ability of company. The author in the thesis, through a comment on the comprehension about Article 60,Section 3 and other regulations in academic circle and judicial practice, comparing and analyzing the relevant legislative rules draws a conclusion that the limited guarantee ability should be legalized in the Company Law of the PRC.
