| 摘 要： | 隐名股东问题是自公司制度在我国诞生以来一直存在的一种社会现象。当前,关于隐名股东的法律纠纷逐渐增多,但是在我国的立法及司法实践中,对隐名股东的资格认定及权益保护等方面依然存在缺陷。弥补立法空缺,提高法律位阶,与间接代理制度相配套,对于隐名股东的合法权益将会起到更加有力的保护作用。

| Abstract: | Since the company system was born in China, the dormant shareholders occur correspondingly. At present, the legal disputes of dormant shareholders have increased gradually, but in our country＇s legislation and judicial practice, it still exist some flaw in the qualification of dormant shareholders and the protection of rights and interests. In order to protect dormant shareholders＇ legitimate rights and interests, it is expected to compensate for the legislative vacancy, improve the legal status, and make it supporting indirect agent system. |
