非破产清算中股东权利保护的不足与完善

随着公司制度的日益完善,传统的公司非破产清算中注重对债权人利益保护,兼顾对股东权益进行保护的理念受到挑战。这种"重债权人,轻股东"的观念,既不利于各方利益的平衡制约,也不利于市场经济的蓬勃发展。因此,如何完善公司非破产清算制度,适当弱化对债权人利益的关注,强化对股东,尤其是中小股东权益的关怀,是我们目前更应当去研究的问题。本文通过对我国现行非破产清算法律制度所存在的问题的分析,从解释论层面对股东权利进行了完善和明确,并从立法论层面试图赋予股东在清算阶段的某些权利,以期能更好地保护股东的权利,实现非破产清算过程中各方利益主体的平衡保护。

On the Shareholders Protection Mechanisms in the Non-bankruptcy Liquidation

As the company system has improved steadily, the traditional non-bankruptcy liquidation focuses on the protection of the interests of the creditors, taking into account the concept of protection of shareholders＇ equity to be challenged. The concept of ＂creditors, light shareholders＂ is detrimental to the constraints of the balance of interests, is not conducive to the rapid development of the market economy. Therefore, as to how to improve the company non-bankruptcy liquidation system, the appropriate weakening of concern for the interests of creditors, and how to strengthen the shareholders, especially the care of the interests of minority shareholders, we should study the problem. In this paper, the analysis of the problems in our current legal system of non-bankruptcy liquidation, the shareholders＇ rights were perfected and clearly explained on the theory level, and attempt to confer certain rights of shareholders in the liquidation phase of the Legislation of level, to better to protect the rights of shareholders, to achieve non-bankruptcy the main balance protection of the interests of all parties in the process of liquidation.
