| 摘 要： | 目前制订商事通则的呼声颇高,但从商法与民法的关系、我国的立法传统和立法技术等方面看,制订商事通则的可行性、必要性值得检讨;否定商事通则的立法主张绝不意味着商法不重要,其重要性与独立性无必然联系.坚持民商合一,商事规范以单行法的形式存在是我国商事立法的最佳模式选择.

| Abstract: | At present,lots of scholars surpport the legislation on the general rules of commercial law.But to analyze the relationship of commercial law and civil law,the commercial legislative tradition and the techniqual problems,we should reconsider the feasibility and necessity of the legislation on the general rules of commercial law.The negation on the general rules of commercial law doesn't mean lowering the importance of commercial law.It is the best choice to hold up the syncretism of civil law and commercial law,and then make commercial law in the form of single commercial rules. |
