| 摘 要： | 本文从立法内容与法律责任两方面对内幕交易、操纵市场、欺诈客户、虚假陈述的行为及不规范性信息披露制度等违法违规行为进行了中外比较。建议证券监管部门应该对禁止的交易行为进行严格的监管,加大执法力度,并尽快建立民事赔偿制度,以保护投资者的利益。

| Abstract: | From the aspects of legislative content and legal liability, this paper makes a comparison between Chinese -Foreign unlawful and irregular practice. Such as inside transaction, market manipuladon, cheating consumer, fraudulent misrepresentation and irregular information announcement. Moreover, it makes a suggestion:departments of security supervision should strictly supervise some banned business, strengthen the enforcement of law and set up a system of civil compensation to protect investor's interests |
