论商人资格的取得与丧失

商人资格的取得与丧失关乎着商人的“准入、退出制度”，对规范商人从事商事活动具有重要意义。本文主要以《商事通则》的制定为契机，从对国外商人资格取得与丧失的立法例考察和对我国不同类型商人的商人资格取得与丧失的分析入手，建议在未来《商事通则》中作出对商人消极资格的规定，对商人积极资格取得与丧失按照设立中的商人、商个人、商合伙、商法人的分类以条文的形式分别作出规定，以实现商事立法的系统化、科学化。

On Acquiring and Losing Qualification of Merchants

To be qualified and disqualified as merchants is important to the access or withdrawal system of the merchants. Meanwhile, it plays a significant role in ruling the merchants activities. Along with the enactment of 《The General Principles of Commercial Law》,some legal issues related to the commercial law should be considered. This article will focus on analysing the qualifications and disqualification of the different kinds of merchants in our country through comparing those related legislations in foreign laws. The author believes that the rules of limited qualifications and disqualification of the prepublication of establishing merchants ,the sole proprietor in commercial law, commercial partnership and juridical person in commercial law should be enacted separately in the form of articles in《 The General Principles of Commercial Law》. Finally, some useful suggestions will be given in hope of making the commercial legislation systematic and scientific.
