| 摘 要： | 美国法对董事注意义务的规定都引入了善意的要求,尤其是将对善意要求的违反作为规避商业判断规则的条件,即违反了善意要求就可以追究董事违反注意义务的责任。从善意的界定及其与董事注意义务的关系出发,探寻"善意要求"在这些具体义务上的适用情况,从而明确"善意"尺度对于注意义务的重要意义,并结合我国公司法的现实情况,进一步提出立法建议,有助于对我国董事注意义务制度完善。
