| 摘 要： | 伴随着我国证券市场上非流通股股权转让的火暴 ,管理层作为我国企业并购的一种新形式 ,开始走上前台。但我国的管理层收购与西方的典型的管理层收购在运作方式和形成背景上却存在着显著的差别。而且在我国管理层收购的实施过程中也存在着诸多令人关注的问题。对此 ,我们应当有较为清醒的认识 ,方可对其进行有效的引导和规制

| Abstract: | Along with the increasing of the restrictive shares' transfer in the security market, Management Buy out comes into being a new way of enterprises' mergence. But the MBO in China is quite different from that is in the West in the operation and the background. Meanwhile, in the process of MBO, there are still many questions we should face with. We should keep clear mind with them, and take effective means to regulate the MBO in China. |
