公司代表人的法律性质及制度完善

公司代表人制度的实质有代理说与代表说两种学说。代表说倾向于保护与公司交易的相对人的利益，而代理说倾向于保护公司自身的利益。在现代商事交易制度领域，对两种学说的不同选择，决定了公司代表人制度的不同宗旨。我国法人法定代表人制度从《民法通则》第38条规定上开始发端，经过几十年的发展，到2006年我国《公司法》的修订和实施，具有我国特色的公司代表人制度从法定的惟一的公司董事长发展到现在的可以从公司董事长、执行董事和经理中选择。虽然人选的选择范围有所增加，但我国公司代表人制度仍然扎根于我国长时间以来形成的法定代表人制度土壤。笔者从公司代表人的理论基础、不同学说的比较以及我国特有的公司法定代表人制度的分析和对比上，对我国现行的公司代表人制度进行了评议，并提出了完善我国公司代表人制度的一些措施。

On Legal Nature and Systematic Perfection of Company Representative

The system of the company representative has two theories: the agency theory and the representative theory.The former tends to protect the related party’s interests,and the later tends to protect the company’s interests.In the modern commercial transaction,different choices determine different prnciples of the company representative system.After decades of development in China,the legal representative of the company can be chosen from the only legal company director to the chairman of the company,the executive director and manager.Although the choice of candidate range increases,the company representative system still roots in our country’s formation history of the legal representative.The article here,through analyzing the basic theory and comparing the different theories,shows us a reasonable evaluation of our current company representative system,and puts forward some suggestions to perfect our company representative system.
