论我国企业立法模式与商事立法模式的契合

企业的法律本质在于其商事主体性。我国应将企业组织法和企业发展法分列立法的模式。在基本商事立法中不应规定企业的概念;企业法律形态划分标准的构成要素不应是唯一的,而应是多元和可变的,只要立法标准所划分的企业法律形态能确保企业作为商主体的独立性及各企业市场竞争中平等的法律地位,并能涵盖所有的企业形式,就是可取的;坚持企业形态法定化原则的同时应当顾及企业组织形式体系的开放性;对于企业集团、关联企业,应在公司法中予以规范。

On the Consistency between the Pattern of the Legislation for Enterprises and the Pattern of the Commercial Legislation in China

The legal nature of enterprises lies in the nature of commercial subject.We should adopt the legislation pattern for enterprises that enterprise organization law should be separated from enterprise development law.The conception of enterprise should not be provided in the basic commercial law.The elements,which consist of the criterion on dividing the enterprise legal forms,should not be unique,but pluralistic and variable.The legal criterion,according to which enterprise legal forms are divided,and ensure their independence as a kind of commercial subject and the enterprises' legal equalities in market competitions,and include all enterprise forms,is acceptable.The principle of statutory enterprise forms should be coordinated with the open system of enterprise forms.Syndications and relevant enterprises should be regulated in Corporation Law.
