论中国外商投资法的发展趋势——中国改革开放30年外商投资法律制度的回顾和展望

在对外开放的30年中，外商投资企业作为利用外商直接投资的主要形式，中国已经积累了丰富的经验。与此同时，中国外商投资企业法律制度也随之得以产生和发展，并在世界贸易组织规则的框架下得到了进一步的完善。在中国加入世界贸易组织、实行社会主义市场经济的今天，改革当初以企业立法形式确立的外商投资企业法已不能完全适应中国当前改革开放和世界经济一体化进程的需要。在世界贸易组织的“国民待遇”原则下，中国外商投资企业法必然地会从目前实行的“双轨制”企业立法阶段发展到国家宏观调控立法阶段的外商投资法典制阶段，从而使外商投资者和中国国内的各市场经济主体一样，在中国享有真正法律意义上的国民待遇。

Study on the trend of development of China＇s law on foreign investment： The review and outlook on legal system of China＇s law on foreign investment during the reform and opening up in 30 years

During the opening up in 30 years, as the main form of use foreign direct investment, China has accumulated rich experience in foreign-invested enterprises. At the same time, the legal system of China＇s law on foreign investment also creates and development, and under the framework of the World Trade Organization rules, the law on foreign investment has been further improved. Now, China have joined the World Trade Organization and practice the socialist market economy, reform of the foreign investment law that legislate according the enterprises can not fully adapt to the current reform and opening-up and world economic integration process. In the ＂national treatment＂ principle of World Trade Organization＇s, China＇s law on foreign investment is bound to be implemented from the current ＂dual track＂ phase of the legislative business to the ＂code phase＂ that country＇s macro-control legislation. So that foreign investors and China＇s domestic market participants will enjoy the real legal significance of national treatment.
