失衡的公司利益关系与刑法保障

公司法上的利益平衡关系,应当围绕着以股东利益为轴心,向其他公司法主体辐射,从而构成相互制约与协调的利益平衡体系。由于公司法律文化传统的缺失,公司法上的各种利益关系严重失衡。虽有民事、行政保障予以规制,但因民事保障机制薄弱、行政保障效果衰微,不足以抑制侵犯公司利益关系的违法行为,为此,加强刑法的刚性保障,从立法模式、犯罪增修和刑罚设定强化规制就成为必然。

The Unbalance Company Interest Relation and the Protection of Criminal Law

Balance relations of benefit in company law should focus on shareholder benefit,while taking care of the other subjects' benefit,for constructing a harmony system with mutual restraint.Because of tradition culture hiatus in China,various of interest relation in company law were being in grave unbalance.Though having civil law,administration ensures giving a gauge system,the protection of civil law mechanism is weak,and the administration's effect is declining,not enough to restrain infringing upon company benefit.Therefore,Strengthening the rigid safeguard of criminal law and the power of penalty,reforming legislation pattern,and revising criminal law regulations become inevitable.
