| 摘 要： | 我国借鉴独立董事制度的目的在于对董事会进行监督和评估,降低管理层的代理成本,保护中小股东的利益,完善上市公司的治理结构。应改革独立董事选任机制,完善董事的保障机制,构建独立董事的约束机制并建立完善的独立董事法律保障体系。

| Abstract: | The goal of independent director system is to supervise and eveluate board of director,educe management agency costs,protect the rests of small and medium shareholders,and promote corporate governance of listed company.the mechanism to chose independent director should be reformed,and the safeguard mechanism of independente director should be promoted.The restriction mechanism and legal safeguard system of independent director should be built up. |
