| 摘 要： | 我国新公司法规定了股东诉讼制度,提供了股东诉讼的法律依据。在司法实践中,正确划分股东诉讼的种类、确定股东派生诉讼的程序要件和主体要件、股东派生诉讼的结果归属等法律制度亟待完善,否则,由于法律制度的缺陷,将很难发挥股东诉讼制度设置的作用。

| Abstract: | The new regulations in our country have set shareholder lawsuit system,and offered the legal basis of shareholder lawsuit.But in judicial practice,there is some trouble in distinquishing the kinds of,shareholder lawsuit,definiting the program important procedures of shareholder derivative lawsuit and the legal systems and the results of shareholder derivative lawsuit are perfected urgently,otherwise,owing to the defect of legal system,it will be hard for system installation of shareholder lawsuit to bring into play. |
