Because of the legal theory of "multilateral acts",the system of corporation liability is different from the system of civil liability,not only on the tenet of the liability,the particularity of the liability,but also on the ascertainment of it.So,they have differences in essence.Because of the restriction of the thory:"combination of civil and commercial codes",there is no independent corporation liability system and corporation litigation system in China's legal system nowadays.In order to make the corporation trade more rapidly and safely,we should construct an independent system of corporation liability and an independent corporation litigation system,which are different from the traditional civil liability system.
