| 摘 要： | 上市公司的收购行为涉及多方主体的利益。在这些利益主体中,目标公司的小股东常处于不利地位,其利益很容易受到损害。通过对要约收购基本规则、监管及权利救济等三方面的深入分析,来维护小股东之权益,找到利益的平衡点。
