公司董事选任制度比较研究

在公司法中,股东会是公司最高权力机关,但在现实生活中,对公司起决定性作用的却是董事会, 董事会良心如何、效率怎样,直接关系到公司的兴衰。这其中,董事如何选任,董事会如何组成,又是关系到董事 会效率的关键问题。我国公司在董事会组成、董事选任问题上,成熟的制度尚未形成,立法上和实践中有许多问 题亟须解决,将此问题与其他国家的立法情况进行比较研究,相信对我国董事制度的完善会有一定的借鉴意义。

A Comparative Study on Systems of Directors' Selection

Stockholders'conference, in company law, is the highest agency of power. However, the board of directors, in practice, plays a decisive role in a company's operation. The efficiency of directory determines directly ups and downs of a company, in which directors'selection and composition is a key to the efficiency. In China, the system concerning directors'selection and composition is not mature and there are still many problems to be solved legally. Therefore, to compare it with and learn from other nations'systems is meaningful.
