| 摘 要： | 独立董事制度体现了“以外制内”的新的公司治理理念 ,考虑到我国股份公司监事会制度在法律传统和制度设计等方面的内在缺陷 ,同时参照德国监事会制度实践经验中的得失 ,在我国建立独立董事制度能够弥补监事会制度的不足、强化现行公司治理结构。

| Abstract: | The regime of independent directors embodies "outsiders check insiders",a new idea on corporate governance. Considering the internal deficiency of board of supervisors in China's stock companies based on the aspects of law tradition and systematic construction,etc. and referring to the experience of Germany companies' board of supervisors,China's adoption of the regime of independent directors can functionally complement board of supervisors,thus enhancing the Board of supervisors present structure of corporate governance. |
