| 摘 要： | 国有企业改制成国有上市公司后,仍暴露出许多治理结构上的严重问题。国有股之持股主体虚位的性质和“一股独大”的股权结构是问题的症结;只有减持国有股,改变国有上市公司的股权结构,才能从根本上完善国有上市公司治理结构。国有股减持中的基本法律问题也必须加以重视。
