| 摘 要： | 世界各国公司法，对一人公司的设立和存续均给予承认。2005年以前我国法律不承认一人公司。2005年10月27日第十届全国人大十八次会议通过的新《公司法》，允许设立一人有限贵任公司形式。本文通过对各国一人公司的立法研究，初步探讨了一人公司性质、特征、沿革，社会发展趋势，并对我国一人公司的立法进行分析，主张立法对一人公司予以肯定性同时，必须对一人公司进行严格规制。
