| 摘 要： | 在我国,不论在实体法中还是在程序法中,合伙企业是作为一种组织即团体对待的。合伙企业虽然不是法人,但它同样有作为团体的维系机制。这些机制使合伙企业的作为团体而持续存在。合伙企业与民法上的合伙、公司法上的公司是有区别的,合伙企业具有商法上的主体地位,但不具有独立的法律人格,团体能力应成为商事组织法的一个基础。

| Abstract: | The partnership is treated as an organization or a team according to either substantive law or procedural law in China.Although a partnership isn't a legal person,it has similar running systems to a team,which make a partnership exist as a team for a long time.There're differences between partnership and the one in civil law and even a company in company law: a partnership possesses status in commercial law but no unattached legal personality.The team capability should be one of the foundations of commercial organization law. |
