公司ＩＴ化是在现代电子技术的基础上发展起来的一种公司制度，得到了经济发达国家的高度重视；公司ＩＴ化的形式包括公司电子信息化服务、股东会议电子化、股东权行使的电子化等；在公司ＩＴ化过程中，公司电子文件的签名和传输、股东电子表决权等具有自己特殊的规则；我国尚没有公司ＩＴ化方面的规范性文件，应当在借鉴国外经验的基础上，确立公司ＩＴ化的法律规则。

On Several Legal Issues of the Ovall adoption of IT in Corporations

Corporate information technology is a kind of corporation system based on modern electronic technology. The developed countries pay great attention to it, and think it has important meaning. The forms of corporate information technology consist of the service of electronic information, the electrifies of the shareholder＇s meeting and performance of shareholder＇s right. In the development of corporate information technology, the sign and transmission of the corporation＇s electronic paper and the electronic vote right of shareholders are the most important legal issues. Both of them have it＇s own special rules. China has no general rules relate to corporate information technology until now. We should use the foreign experience for reference, and establish the legal rules on the corporate information technology.
