| 摘 要： | 有限责任公司具有资合性、人合性与封闭性;有限责任公司制度的改革应坚持适应性和引导性两大目标,任何有限责任公司法的改革都不是在消灭实质意义的有限责任公司,在不同的国情下,可能有限责任公司的名字在变化,而它固有的特性则越改革越凸现出来。

| Abstract: | A limited liability company is characterized by its stakeholders' contribution to stock capital, the affinity between the stakeholders and its stock not being freely traded but rather being held by only a few shareholders. Any reformers of limited liability companies must reform them with available means, endeavor to guide them out of difficulties and by no means try to wind up these kinds of companies. Although the names of this kind of companies vary in different countries, their characteristics become more and more apparent with the ongoing of the reform. |
