论所有权保留与动产担保物权的竞合关系

所有权保留是当事人在移转财产所有权的商品交易中对所有权移转的一种附条件约定 ,目的在于担保出让人所期待的对待给付的实现。已设定动产担保物权的标的物是否可以再为所有权保留出让 ,当事人是否可就所有权保留项下标的物为他人设定担保物权 ,即如何处理所有权保留与其他担保物权的竞合关系 ,关系到各别担保方式的运用与担保权利的实现 ,具有重要的理论与现实意义。本文以各担保方式的机理、功能以及利益平衡原则为评断方法 ,对所有权保留与动产担保物权的竞合问题试作解析。

An Analysis about the Priority between Retention of Ownership and Other Chattel Security Interests

Retention of ownership is a term which attached certain conditions to a contract of transferring the ownership of goods. It helps to guarantee the implementation of the buyer's obligations. It is of great importance whether the goods on which had set chattel pledge interests can be sold with a term of retention of ownership, or the goods under a term of reservation of ownership can be burdened with other security interests on the contrary. In other words, the legal treatment about the coincidence of all kinds of securing ways for payment and the harmonization of those security interests is very important theoretically and practically.
