商主体的类型化思考

从商个人到商法人,其形象各异但又有着过渡状态,它们之间相互映衬并紧密相联。但我国的商主体立法存在着非此即彼的僵硬思维,没有注意到商主体的类型问题,压缩了投资者的选择空间。从理论和立法上厘清商主体的类型化问题,有利于建构适合我国社会不断发展需要的商主体,并从立法上以开放的模式加以规范和引导。

Studying on commercial body's typies

there are different commercial bodies with transition from sole proprietor to juridical person.These subjects are setting of each other and not divided completely.Legislations of commercial subject in Chinese do not pay enough attention to type series of these subjects,which reduce investor's choices.The type series of commercial subjects should be made clarity in law theoretics and legislations,for it will help to expand investor's selective space.
