| 摘 要： | 要约收购是我国上市公司收购的重要方式。我国的法律对要约收购作了一些规定 ,但存在许多缺陷 ,需要进一步完善。重建强制要约收购 ,设立自愿要约收购 ,规制收购后续行为 ,是健全要约收购的重要步骤。
