关于完善我国独立董事制度的思考

我国引入独立董事制度的目的在于对董事会进行监督和评估,进而完善我国的公司治理结构。但我国独立董事制度正处于初创阶段,有诸多不完善的地方,如独立董事的选任机制存在重大问题,独立董事制度缺乏立法上的有力支持,独立董事的激励机制不足。应改革独立董事的遴选机制,完善公司立法,协调独立董事与监事会的职权改革独立董事的激励机制,强化独立董事的责任制度,完善独立的董事制度。

Consideration on Completion of Independent Director System in China

Abstract:The aim of introduction of independent director system is to supervise and evaluate board of directors and complete compa- ny supervision structure.However,there are still some defects,such as the election and incumbency of directors;the legal support of inde- pendent director system;the inspiriting system of independent director system.The selection system of independent director system should be reformed.And we should also assort with the rights of independent director system and board of supervisors,consolidate the duty system of independent director system and complete independent director system.
