| 摘 要： | 现代公司法律不应当禁止公司的承包经营,但在理论上我们应当明晰公司承包经营模式与股东有限责任之间的关系,并在此基础上对公司承包经营模式下的公司债务承担规则、利润分配规则、公司治理规则等进行合理的配置。

| Abstract: | Corporation laws in modern times should not prohibit contractual operation of company.But theoretically,we should make clear the mode of contractual operation of company and the limited liability of shareholders,and reasonably distribute the rules on burden of debt,distribution of profit,governance of corporation under the mode of contractual operation of company. |
