| 摘 要： | 信息披露制度是证券市场制度的重要组成部分,它的完善与否直接决定着证券市场有效性程度的高低.完善信息披露不实民事责任制度的核心在于因果关系的明确.文章在确定信息披露不实民事责任性质的基础上对因果关系的理论基础做了探讨,并对现行证券法及相关司法解释中有关因果关系的认定提出了完善意见.

| Abstract: | As an important part of stock market system, the information disclosure system directly impacts the validity of stock market.The keystone to improve the civil liability system about false information disclosure lies in the confirmation of causality. Based on the analysis of the civil liability system about false information disclosure, this paper discusses the theoretic base of causality, and advances some points on how to improve the cognizance of causality in the present securities law and its judiciary interpretations. |
