论我国商法体系的建构技术

当大陆法系国家商法典的内部规范逐渐解体，商事单行法却生机勃勃，已经成为商事立法发展的世界性潮流。无论是采用“民商合一”还是“民商分立”体例的国家，其商法体系发展的现状，均不可能给我们提供可资借鉴的模板。因此，在商法体系的建构技术上，我国必须超越外国传统模式，制定《商法通则》上承《民法典》下统商事单行法。我国商事单行法只有始终如一地贯彻《商法通则》所确认的价值理念，才能形成一个形散而神不散，健全的商法体系。为此，必须制定立法和修改规划，消除体系中的矛盾、冲突和不和谐因素，做好商事单行法的汇编工作，使实质意义上的商法体系同样具备可综览性。

On the Constructive Technology of Chinese Business Law System

When the internal norms of code of the business law within civil law system were gradually separated,the separate law has been full of life,which has become trend of business legislation development in the world.No matter the countries use the mode of "united civil and business" or "division of civil and business",the situation of their system of business law will not give us a model of legislation.Thus,as to the technology of establishment system of business law,we must trespass the traditional model,and make General Principles of the Commercial Law link with General Principles of the Civil and guide the individual business law.Only if valuable concept of General Principles of the Commercial Law is abided by our separate business law,a perfect business law system with a concentrated spirit can be set up.For this purpose,we must work out the plan of enacting and revising law,eliminate the contradictory,inconsistent and unharmonious factors,perfect the collection of separate law and make the actual business law be comprehensively surveyed.
