论中国海外投资立法的路径和体系

中国海外投资立法至今还没有引起学者和立法工作者的足够注意,表现出相关立法严重滞后、监管立法欠科学、立法层次较低和透明度不高等诸多问题,影响了中国海外投资实践的发展.我们应该建立国务院直属的海外投资管理委员会,全面负责海外投资管理和立法起草工作,选择"先单行法,后基本法"、"单行法和基本并行"的立法路径,确立有利于本国经济发展、国际化战略、国家经济安全等四项立法原则,构建以海外投资法为基本法,以海外投资监管、保险和援助立法为单行法的法律体系.

On the Law System and Legislation Steps of Oversea Investment of China

Legislation of China oversea investment exists lots of questions, such as low-level, not scientific and legislation-delayed etc. to which the expert and learner have no pay much attention. We should build the commission of oveasea investment to manage the legislation and the practice, and select the legislation model of "basic law and special profession law existing commonly"and "the first profession law, the second basic law", and establish four legislational principles of "beneficial to the state economic development", "carring out the global management strateges", and "protecting the state economic safety"etc. and finally construct the legal system, including the oversea investment taw as basic law, the oversea investment supervision taw and the oversea investment insurance taw etc. as additional law.
