| 摘 要： | 1994年我国公司法颁布实施 ,标志着中国企业改革进入了一个新阶段。但至今 ,人们对公司法与公司治理结构的一些概念和提法仍然存在着认识误区。由此带来改革实践中的种种不规范现象。使公司制改革沿着健康轨道发展的前提是 ,走出误区 ,从认识到实践克服种种偏离规范的现象。

| Abstract: | The promulgation and implementation of Company Act in 1994 marked that China's enterprise reforms entered a new stage. However, misunderstandings of some concepts and terms concerning Company Act and the Structure of Company Rectification still exist. This has led to various abnormal phenomena in the practice of the reforms. To dismiss such misunderstandings and avoid such abnormal phenomena in both ideology and practice has become the prerequisite for the health development of company reforms. |
