试论公司的直索责任

公司有限责任制度在推动人类经济发展的同时也产生了道德风险、滥用法人人格规避法律责任等诸多弊端,为矫正这些弊端必须确立公司的直索责任制度.直索责任是通过否定公司法人人格,使有限责任相对化而产生的一种严格责任.由于我国关于公司方面的法律没有强调民事责任问题,仅有个别司法解释做了规定,因此针对滥用法人人格而确立公司直索责任尤其必要.

A proposal to establish the system of disregard of cooperate personality

The limited liability of corporations, while making great contributing to the economic development of human society, has cause such serious problem as moral crisis and the practice to eschew liability though the limited liability system. In order to correct these shortcomings, the system of disregard of cooperate personality should be established. This system aims at disregarding the corporate personality and makes corporate limited liability a comparative one. This system is of great importance to China because corporations' civil liabilities cannot be found in China's corporate legislation, but in some judicial interpretation.
