| 摘 要： | 在反收购中强调董事忠实义务,是由于其中存在着董事利益冲突.如何判断董事在反收购中尽到了忠实义务,英美国家有不同的方式和规则.对此,文章认为我国法律应解决三个问题:(1)明确董事在反收购中的行为权限;(2)确立正当目的标准;(3)完善收购市场的信息披露机制.

| Abstract: | The director's conflict of interests in anti-takeover is the reason why we emphasize the duty of loyalty.It's different in the ruls of how to judge a director whether finish the duty of loyalty between England and U.S.A.This paper set forth the proposal about the judgement of director's duty of loyalty in anti-takeover as follows:we must define the director's power in anti-takeover actions;establish the rule of proper goal;perfect the institution of information's disclosure. |
