关于公司法人人格否认制度的法律思考

我国国有企业存在着严重的“内部人控制”现象，公司控制权被董事、高级管理人员所掌握。由于《公司法》中只有对股东才能适用法人人格否认制度，致使大量滥用法人人格之行为得不到有效规制。目前可以采用判例制度以弥补现行法的缺漏，并最终以制定法形式完善我国公司法人人格否认制度，把董事、高级管理人员纳入到其适用范围。
