| 摘 要： | 作为完善公司治理结构的有效内部措施之一,独立董事制度在我国已形成一定规模,但还存在与监事会功能重叠、来源匮乏等问题。可以从完善激励和约束机制、建立完善有效的市场等方面来健全和完善独立董事制度,使之真正发挥作用。

| Abstract: | As one of the effective internal measures of corporate governance, system of independent director has been formed a size in China, but its function played is not obvious enough. There are a lot of questions, including overlapping functions with supervisors, short of source and so on. We can improve the inspiriting and restricting mechanism, establish the perfect and effective market, and etc. to improve the system of independent director and make it function properly. |
