基于资源的公司权力配置研究

随着公司治理问题研究的不断深入,处于公司治理中心的权力配置问题成为研究的热点。以公司所拥有的资源为视角,可将参与公司权力配置的资源分为硬资源和软资源这两类。在对影响权力配置的产权状况、资源结构和性质、资源的集中度等关键因素分析的基础上,按照公司价值创造的逻辑,公司权力(决策权、执行权和监督权)可基本分为一元主导、二元分享和多元共享这三类配置模式。这一研究对公司治理理论和管理实践具有重要的指导意义。

A Study of Power Allocation in Resources-Based Organizations

This paper takes as its point of entry the resources possessed by a company and divides the resources which partake of corporate power allocation into two types:hard and soft resources.This paper argues that based on the property situation,resources structure and nature,and some other key factors that influence power allocation,the corporate power falls into three types of allocation: monoad domination,diad sharing and multiplural sharing allocations.This study bears relevance to corporate governance theory and practice.
