In the modern corporate governance system which divides the ownership and management rights,the shareholders' meeting usually becomes the instrument utilized by the holding shareholders to impair the minority shareholders.This thesis holds that the perfect system of Shareholders' Proposal Rights is one of the effective approaches that the minority shareholders can participate in the management of the corporation and protect their interests.This thesis mainly deals with and analyzes the following four aspects: the origin,the theoretic basis and practical significance,the specific contents and the imperfection and the way of consummating the system of Shareholders' Proposal Rights.
