| 摘 要： | 2005年新《公司法》第16条对1995年《公司法》的规定做了进步性修改,由“禁止公司对外担保”修改为“限制公司对外担保行为”,“满足限制条件的公司担保行为才为合法有效的担保行为”.但是考虑到公司对外担保行为所带来的风险,现行公司担保限制条件仍存在很多问题,应进一步加以完善.

| Abstract: | The article sixteenth of the new Company Law of 2005 have been further modified based on the Com- pany Law of 1995. The new rule restricts the guarantee behavior instead of banning guarantee behavior. It is the guarantee of effective to meet the company security constraints. The current restrictions still exist many problems associated the risks of guarantee behavior. This paper analyzes the problems existing in the current company guarantee, and puts forward some improvement suggestions. |
