| 摘 要： | 文章对目前国有企业公司制改造中存在的问题,如产权结构不合理、股权不平等、国有股份难以上市等进行了分析,并对完善国有企业公司制提出了相应对策:改革股权结构;完善法人治理结构;建立有效的约束和激励机制,促进职业经理阶层的形成。

| Abstract: | The article gives an analysis of the problems existing in coverting state-owned enterprises into companies such as the property right structure being irrational, stock rights being unequal and state-owned securities being hard to be listed. The article also presents some views on improving enterprises according to the company system:reforming the property right structure, improving corporate governance, establishing effective constrained and incentive mechanisms and promoting the emergency of the rank of professional managers. |
