| 摘 要： | 商事登记的效力有生效主义与对抗主义两种理论。从我国现行立法的规定来看,设立登记与注销登记一般被作为生效要件,变更登记则需作类型化分析。之所以有此区别,主要在于核准登记中的“核准”行政法属性不同,若“核准”属行政许可,则相关登记为生效要件;若“核准”属行政确认,则相关登记属对抗要件。

| Abstract: | The effect of registering in commercial affairs has two kinds of theories of doctrine of coming into force and opposes. According to the regulation of the current legislation, setting up and canceling the registration is generally regarded as the important document of coming into force. The different administrative feature can account for the distinction. If it belongs to the administrative licensing, the relevant registration is the important document of coming into force; if it belongs to the administration to confirm, it belongs to that of opposite component. |
