| 摘 要： | 我国新修订的公司法中第一次明确了公司董事的勤勉义务,但我国学界对于勤勉义务的概念和缘起却有着诸多不同认识。由此出发,将民事过失中的注意义务和公司法董事义务体系中的注意义务的发展进行联系,建构出一个相对完整的新的董事义务体系,并由此厘清注意义务和勤勉义务的关系,概括出勤勉义务的一般内容。

| Abstract: | New - revised company law first explicitly proposed directors' " duty of diligence" , but scholars actually has many different understanding regarding concept and origin of " duty of diligence" . Based on this condition , to compare the " duty of care" in tort law' s negligence and " duty of care" development in the company law, we will reconstruct a new relative integrity system of director' s duty. Furthermore, we summarize the general contents of "duty of diligence" . |
