| 摘 要： | 企业并购是西方企业资本扩张的重要手段。通过并购既可以实现资源的优化配置 ,又可以实现资本的低成本、高效率扩张 ,形成强大的规模效应。但在我国 ,由于特殊的经济管理体制和社会文化背景 ,尚未规范的市场机制 ,企业对并购了解不够全面 ,认识不够深入 ,在并购对象的选择上盲目性较大 ,从而加大了并购成本 ,难以形成有效的并购整合。有些企业在并购以后 ,陷入了被并购企业的管理泥潭之中 ,从此走向失败。

| Abstract: | The important means of extending enterprises' capital in the west is enterprises' combination.The combination not only completes optimization allocation of resources,but also reducing production cost,increasing efficiency,then forms a large sale effect.Enterprises' combination meet with many problems, for example,lacking the knowledge of combination,choosing the subjects blindly,This owes to special economic management system,the background of social culture and unstandard market mechanism.So the cost of the combination is increasing,the conformity of the efficient combination forms hard.After some enterprises are combined,they are in the charge of combining enterprises,this leads to their failure. |
