| 摘 要： | 企业并购是现代化企业迅速成长的必经之路。西方国家在企业并购的理论与实践上已经有了100多年的历史，其理论与实践值得我国企业认真学习和反思。通过论述三个经典的并购理论：以及对美国历史上五次并购浪潮的简述，提出对中国企业实施并购应借鉴的几点建议：先“专”后“深”再到“全”；注重并购后的整合；由内至外，先易后难；充分利用银行融资工具。

| Abstract: | Merger and Acquisition is the path to rapid growth for modern company. There are more than 100 years＇ history on the development of M＆A theory and practice in west country. Their experiences of success and les sons from failure are really worth exploring. By stating the 3 famous M＆A theories, and also by stating the feature and summary of the five M＆A waves in the Unites States history, the article gives several suggestions to the Chinese companies： doing merger and acquisition： from horizontal to vertical M＆A, and then to Mixed; from inside M＆A to out-side ; paying more attention to integration than M＆A; making good use of financing instruments. |
