论我国监事会职能实现的障碍及其消除

我国公司监事会监督不力是一个不争的事实。监事会在实现其职能过程中遇到了四大障碍:股东大会名不副实、董事会权力膨胀、监事会缺乏实际上的独立地位、监事素质普遍较低等。充分发挥监事会的职能,必须完善股东大会制度,强化监事会的权力,提高监事会的独立地位,加强监事队伍建设。

It is a fact that the supervisory board of the company is unable to control competently in China .The supervisory board encounters four obstructions in the process of achieving its function: the stockholders' meeting is unworthy of the name or the title, the board of the directors has more and more power, the supervisory board lacks the independence of position in fact and the quality of supervisor is universally low and so on .The function of the supervisory board will be sufficiently brought into play only when we try to do these:to consummate the system of the stockholders' meeting, to intensify the power of the supervisory board; to lift the independence of the supervisory board and to strengthen the construction of the supervisory troops.
